Procedure guide

Compulsory liquidation (winding-up order): how it works

A compulsory liquidation starts when a court makes a winding-up order, usually on a petition from an unpaid creditor; the petitioner in a particular case is usually named in the related Gazette notices. In England and Wales the Official Receiver, a civil servant in the Insolvency Service, becomes liquidator first and may later be replaced by an insolvency practitioner. In Scotland there is no Official Receiver and the court appoints an interim liquidator, while Northern Ireland has its own Official Receiver within the Department for the Economy.

What happens next

  1. Once the order is made, the company stops trading, its directors lose their powers, and its bank accounts are normally frozen.
  2. The Official Receiver gathers information from the directors, often through a questionnaire and interview, and reports to creditors on the company's position, typically within about 12 weeks.
  3. Where there are significant assets, an insolvency practitioner may replace the Official Receiver as liquidator, appointed either by the Secretary of State or by a decision of creditors.
  4. The liquidator sells assets, investigates why the company failed and how its directors acted, and pays any dividends (payouts to creditors) in statutory order.
  5. When the work is complete the liquidator is released and the company is dissolved; where assets are minimal, the Official Receiver can seek early dissolution.

Typical duration

Varies widely. The Official Receiver acts first, and cases with few assets can close within a year, while cases involving property, litigation or investigations can run for several years.

Creditors and suppliers

  • Creditors can submit a proof of debt to the Official Receiver or appointed liquidator, and claims of £1,000 or less may be accepted without a formal proof.
  • Creditors holding at least a quarter of the debt by value can require the Official Receiver to seek a decision on appointing an insolvency practitioner as liquidator.
  • Payments the company made after the winding-up petition was presented are void unless the court validates them, so a liquidator may seek to recover them.
  • Lenders with a fixed charge (security over specific assets such as property) are paid from those assets, and liquidation costs and preferential employee claims rank ahead of ordinary unsecured creditors.
  • For insolvencies starting since December 2020, HMRC ranks as a secondary preferential creditor for taxes it collected on the company's behalf, such as VAT, PAYE and employees' National Insurance, ahead of lenders with a floating charge (security over changing assets such as stock) and unsecured creditors.
  • Before any dividend is declared, creditors are notified of a last date for proving, often by Gazette notice, and later claims may miss that payment.

Employees

  • A winding-up order usually ends employment straight away, and staff can then claim money owed from the Redundancy Payments Service.
  • Claims can include up to eight weeks of wage arrears, up to six weeks of holiday pay, statutory notice pay and statutory redundancy pay, each limited by a statutory weekly cap.
  • Statutory notice pay claims may be reduced by earnings from new work, or by benefits received or that could have been claimed, during the notice period.
  • Amounts above the government limits can be claimed in the liquidation; unpaid wages for the four months before the liquidation, up to £800 per employee, and all accrued holiday pay rank as preferential debts, which are paid ahead of most other claims.
  • In Northern Ireland, equivalent claims are made to the NI Redundancy Payments Service, which is part of the Department for the Economy.

Customers

  • Trading stops when the order is made, so outstanding orders are unlikely to be fulfilled and prepayments usually become unsecured claims.
  • Gift cards and vouchers generally cannot be redeemed once trading has stopped, leaving only an unsecured claim in the liquidation.
  • Credit card purchases of a single item priced over £100 and up to £30,000 may be claimed from the card provider under section 75 of the Consumer Credit Act.
  • Debit card payments and smaller purchases may be recoverable through chargeback, subject to the card network's time limits.
  • Customers who owe the company money remain liable to pay it, and the Official Receiver or liquidator may contact them to collect it.

Directors and shareholders

  • Directors' powers end on the winding-up order, and they must cooperate with the Official Receiver, including providing records and attending an interview if asked.
  • The Official Receiver reports on the conduct of recent directors to the Insolvency Service, which can seek disqualification for between 2 and 15 years.
  • Liquidators can pursue directors personally for wrongful trading or misuse of company money, and can seek to reverse payments that unfairly favoured one creditor or assets sold or given away for too little.
  • Personal guarantees and overdrawn director's loan accounts survive the liquidation and may be enforced by the creditor concerned or by the liquidator.
  • Anyone who was a director in the 12 months before the liquidation generally cannot reuse the company's name, or a similar one, for another business for five years, except in limited cases the law permits.
  • Shareholders rank last and rarely receive anything, as they are paid only after all creditors have been repaid in full with interest.
  • These are general rules that apply in every case of this type. They do not suggest that any director of this company has acted improperly.
